These Terms and Conditions constitute an agreement between AD Home Collection SARL (“AD Home” or “we”) and you (“you”, “You”, “your”, “Your” or the “User”), a user of this website and any of its pages (the “Platform”). By using this Platform, you acknowledge that you have read the Terms and Conditions as well as the Privacy Policy of this Platform (jointly referred to as the “Terms”) and accept that the Terms govern your relationship with AD Home and your use of this Platform. You agree to comply with the Terms when accessing or using our Platform. If you do not agree with the Terms, please do not use the Platform.

Please read the Terms carefully as they contain information concerning your legal rights, obligations and the applicable law and jurisdiction for any disputes and they govern your use of the Platform.

AD Home may modify the Terms or modify, suspend, or discontinue the Platform at any time for any reason. However, AD Home will use commercially reasonable efforts to notify you of material changes to these Terms. Any amendments are effective from the date that they are posted on the Platform (the “Publishing Date”). You are responsible for checking the Terms from time to time. Your continued use of the Platform after the Publishing Date will be deemed as your consent of the Terms.

General Provisions

Eligibility to Use the Platform:

The Platform can be used only by persons who can form legally binding contracts under applicable law. Persons who are incompetent to enter into an agreement are not eligible to use the Platform. If your age is below that of eighteen years, you cannot use the Platform.  AD Home reserves the right to terminate the registration of any User and deny its access to the Platform if it finds out that the User is under eighteen-year-old. The Platform cannot be accessed by persons whose registration has been suspended or terminated by us for any reason whatsoever.

Those who choose to access this Platform from outside Lebanon are responsible for compliance with local laws if and to the extent local laws are applicable.

Your Account:

Account Creation: You must complete the registration form with accurate, current and complete information.

Responsibility for Account: You are solely and entirely responsible for (i) maintaining the confidentiality of your account and password; and (ii) any activities that occur through your account. You undertake to immediately notify AD Home about any unauthorized access of your account or any other breach of security.

Liability for Account Misuse: AD Home shall not be liable for any loss you may incur as a result of a third party using your account and password with or without your authorization. You may be held liable for losses incurred by AD Home or another party due to a third party’s use of your account or password.

Closure of the Account: You may close the account at any time by sending a request to AD Home. AD Home may, at its sole discretion, close or restrict access to your account, at any time without notice and without recourse to any legal proceeding, if (i) you breach any of the provisions of the Terms; (ii) if we believe that someone other than you has accessed your account; or (iii) for any other reason whatsoever.

Account Security:

AD Home has put in place security measures to avoid breach of the security of your account by a third party. However, AD Home cannot guarantee the security of your account. You acknowledge that you are providing your personal information and you are transacting through the Platform at your own and sole risk.

Privacy Policy:

The protection of your privacy is very important for us. We only use your information as described in the Privacy Policy.

Intellectual Property Rights:

The Platform and its entire contents, features and functionality (including without limitation the software, information, images, designs, videos, audios, trademarks, service marks, logos, etc.) (the “Content”) are owned by or licensed to AD Home, subject to copyright and other intellectual property rights governed by the Lebanese law, foreign laws and international conventions. AD Home reserves all rights not expressly granted in and to the Platform. You agree to not use, copy or distribute any of the Content of the Platform other than expressly permitted in the Terms.

License:

Subject to your compliance with the Terms, AD Home grants you a limited, non-exclusive, non-transferable license to access/use the Platform for your personal and non-commercial use during the term of the Agreement.

Access to the Platform does not confer and shall not be considered as conferring upon anyone any license under any of our or any third party’s intellectual property rights.

E-Communications:

You are communicating with us electronically when you use or visit the Platform, chat with us and/or send emails to us. You agree to receive communications from AD Home electronically. We will communicate with you either by email or by posting notices on the Platform. You agree that all agreements, notices, disclosures and other communications that AD Home provide to you electronically satisfy any legal requirement that such communications be in writing.

Your Conduct:

By using the Platform, you agree that you will:

1. Comply in full with the Terms;
2. Comply with Lebanese law and all applicable local, national, and international laws implicated by any jurisdictions you are subject to;
3. Provide accurate information about yourself;
4. Engage in solely legal activities;
5. Not create fake profiles, impersonate any individual or entity;
6. Refrain from copying, distributing or disclosing any part of the Platform in any medium, including without limitation, by any automated or non-automated “scraping”;
7. Not modify copies of any materials from the Platform;
8. Not use any illustrations, photographs, images, videos or audio sequences or any graphics separately from the accompanying text;
9. Not delete or alter any copyright, trademark or any other proprietary rights;
10. Refrain from using any automated system, including without limitation “offline readers”, “robots”, “spiders”, etc. to access the Platform;
11. Not access, tamper with, or use non-public areas of the Platform or AD Home’s computer systems, examine or test the vulnerability of any system or network or breach or circumvent any security or authentication measures without our prior written permission, falsify any TCP/IP header on the Platform or part of the header information in any posting or communication;
12. Not interfere with or disrupt the access of other users of the Platform, host or network to the Platform, (i.e. distributing viruses, worms, malicious codes or other software which could destroy or interrupt the Users’ data or computer devices), or send misleading, altered or false source-identifying information;
13. Not advertise to, or solicit, any user of the Platform to buy or sell any services or products through the Platform, or use any information obtained from the Platform in order to contact, advertise to, solicit, or sell to any user of the Platform without their prior explicit consent;
14. Not copy or reproduce the Platform to any other server or location for further reproduction or redistribution, “frame”, “mirror” or otherwise incorporate any part of the Platform into any other website without AD Home’s prior written authorization;
15. Respect the intellectual property rights of AD Home and any other third party’s intellectual property rights on the Platform; and
16. Refrain, in general, from doing any actions that violate or could constitute a violation of the Terms.

Content Update:

AD Home may update the Content on the Platform from time to time, but its Content is not necessarily complete or up-to-date. Any of the Content on the Platform may be out of date at any given time, and AD Home is under no obligation to update such material.

Third Party Content:

1. The Platform may contain links to third party’s websites or applications that AD Home does not control. Your use of such links is at your own risk. You must (i) take precautions to ensure that whatever links you select or software/content you download is free of such items as viruses, worms, Trojan horses, defects and other items of a destructive nature and (ii) review the applicable terms and privacy policy of third party’s websites.
2. You understand that links to such websites or applications do not imply any endorsement by AD Home of data/content, products or services available from such websites or applications. You will not hold AD Home responsible for content on the Platform containing links to third party’s websites or applications. AD Home is not responsible for the privacy practices of websites or other services operated by third parties that are linked from or integrated in the Platform or for privacy practices of third party internet advertising companies.

Products:

The Platform allows you to purchase, through the Platform, several kinds of products and items including without limitation home accessories and fragrances (the “Products”).

Products Display:

The colors of the Products that appear on the Platform will be displayed as accurately as possible. However, since the actual colors you see will depend on your monitor, AD Home cannot guarantee that your monitor’s display of any color will be accurate.

Products Pricing:

Errors may occur in the process of providing Products’ description, details and pricing information on the Platform. AD Home cannot confirm the price of a Product except after ordering. In the event that a Product is listed at an incorrect price or with incorrect information due to an error in pricing or Product information, AD Home shall have the right, at its sole discretion, to either contact you for instructions or cancel your order and notify you of such cancellation.

Payment Terms and Conditions/Exchange Rates:

Payment shall be made, upon delivery, in cash USD or LBP according to the market rate on the date of the order. Please contact AD Home to know the rate in LBP. Payment with bank cards might be available soon.

Delivery Terms and Conditions:

Products will be delivered within one (1) week from payment date (excluding holidays) for orders to be delivered in Lebanon (the “Territory”). AD Home might be delivering Products outside the Territory, subject to the prohibitions provided for in the applicable Lebanese laws; special terms will apply in this case.

Orders Placement, Delivery and Acceptance:

As a User, you agree and confirm the following:

1. You agree that before placing an order you will check the Product’s description carefully. By placing an order for a Product, you agree to be bound by the conditions of sale included on the Platform and the Terms.
2. If a Product is not delivered to you due to an incorrect/incomplete address or inaccurate information, AD Home may attempt to find the correct address in order to complete the delivery. AD Home assumes no responsibility for its inability to complete delivery under such circumstances and reserves the right to impose on you any extra cost it incurs for redelivering the Product.
3. You undertake to provide accurate and correct information to AD Home. We reserve the right to confirm and validate any information or other details provided by you at any point of time. In case of provision of wrong information, AD Home shall have the discretionary right to reject your registration/order and forbid you from using the Platform.
4. All Products shipped by AD Home to you have been examined by AD Home staff upon shipment for quality control. You should carefully inspect the Product/s upon receiving it/them from our driver and immediately inform us about any defect. Otherwise, the Product will be deemed to have been accepted by you as received and you shall not have the right to request its replacement by AD Home. We are not responsible for the Products once you accept receiving them from our driver.

Exchange Policy:

1. Purchased Products may be exchanged for other Products or a store credit. Products may only be exchanged within 7 days from the date of purchase upon the presentation of the original receipt or the exchange voucher, as long as Products are still in the same condition as when purchased and in the original packaging (unopened, unused, unscented, unwashed, unaltered and having the original tags attached at time of exchange).
2. No refund for payments made through bank cards (if available) is allowed except in the event of clearly apparent manufacturer’s defect provided you notify AD Home of such defect immediately upon receipt of the Product from our driver as specified above.
3. Fragrances and candles cannot be exchanged or refunded.

Products Availability and Fulfillment of Orders:

AD Home reserves the right, at its sole discretion, to refuse or cancel any order for any reason whatsoever, including without limitation, availability of the Product, inaccuracy in Product’s price or description, etc. Additional verifications or information may be requested before accepting any order. AD Home will contact you if all or any portion of your order is cancelled or if additional information is required to accept your order.

Disclaimer & Warranties:

1. AD Home provides the Platform (including content and information) on an “as is” and “as available” basis.
2. AD Home does not guarantee continuous, uninterrupted, error-free or secure access to the Platform. AD Home is not responsible for any removal or cancellation of services, Products or functionalities of the Platform. AD Home shall not be held responsible for transactions delays whenever applicable. Access to the Platform may be interrupted occasionally at AD Home’s sole discretion to allow error correction, maintenance, the introduction of new features or any other cause.
3. AD Home reserves the right to temporarily suspend access to the Platform for operational purposes, including, but not limited to maintenance, repairs or installation of upgrades.
4. AD Home does not make and expressly disclaims any other warranties, conditions or representation, express or implied, with respect to the Platform or any other matter involving or arising out of any of the Terms. In particular, AD Home disclaims any warranty of merchantability, fitness for a particular purpose, accuracy, reliability, availability and security of data/content, non-infringement and any warranty based on trade usage, course of dealing or conduct.

Limitation of Liability:

1. AD Home and any officer, director, employee, subcontractor, agent, successor, or assignee of AD Home, shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of reputation, profits, goodwill, use, data or other intangible losses (even if AD Home has been advised of the possibility of such damages), resulting from:
   1. the use, inability to use, unavailability, suspension or discontinuance of the Platform;
   2. any modification to a feature or to the Platform itself;

• any other matter relating to the Platform.

1. If AD Home is found liable for any loss or damage that arises out of or is in any way connected with your use of the Platform, then AD Home’s liabilities will in no event exceed, in the aggregate, the greater of (i) the fees paid to AD Home for the use of any service or the purchase of any Product on the Platform; or (ii) One Hundred United States Dollars.
2. Indemnification

You agree to defend and indemnify AD Home and any of its officers, directors, employees and agents from and against any claims, demands, lawsuits, losses, damages, fines, penalties or other costs and expenses of any kind or nature, including but not limited to any reasonable legal fees, brought by third parties as a result of (i) your use of the Platform; (ii) your breach of the Terms; or (iii) your violation of any law or the rights of third parties.

Governing Law and Jurisdiction:

The interpretation, validity and enforcement of the Terms, matters arising out of or related to the Terms will be governed by the laws of Lebanon. With respect to any claim, legal proceeding, or litigation arising under the Terms or in connection herewith, you irrevocably submit to the exclusive jurisdiction of the courts of Beirut and waive any objection in the propriety or convenience of such venues.

General Provisions:

1.  You must file any claim or cause of action arising from or relating to your access or use of the Platform within one week from the date on which such claim or action arose or accrued unless a shorter time period is specified in these Terms; otherwise, such claim or cause of action will be irrevocably waived.
2. Failure or delay on the part of AD Home to exercise any right, privilege or provision under the Terms will not operate as a waiver nor will any partial exercise of any right, privilege or provision preclude any further exercise thereof. Any waiver by AD Home at any time of a breach of any term or provision of the Terms will not be construed as a waiver by AD Home of its rights under such term or provision or of any of its other rights under the Terms.
3. In the event that one or more of the provisions of the Terms is found to be invalid, illegal or unenforceable by any legal or regulatory body of competent jurisdiction, such finding will be limited solely to such invalid or unenforceable part, without affecting the remaining part or other provisions of the Terms which will remain in full force and effect.
